TERMS OF USE

1. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and PunkSky (“Company”, “we”, “us”, or “our”), concerning your access to and use of the https://punksky.com website, as well as any other media form, media channel, mobile website, mobile application, API, or service related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing or using the Site, you agree that you have read, understood, and agree to be bound by these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms or documents that may be posted on the Site from time to time are hereby expressly incorporated by reference. We reserve the right, in our sole discretion, to modify these Terms at any time. The “Last updated” date reflects the most recent changes. Continued use of the Site constitutes acceptance of the revised Terms.

The Site is not intended for use in jurisdictions where such use would violate applicable law or regulation. Users accessing the Site from outside Australia do so at their own initiative and are responsible for compliance with local laws.

The Site is not designed to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA. You may not use the Site where such compliance is required.

The Site is intended for users aged 13 years or older. Minors under the age of 18 must have parental or guardian consent and supervision.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and all content, including but not limited to source code, software, databases, designs, text, graphics, audio, video, and logos (collectively, the “Content”), as well as trademarks and service marks (“Marks”), are owned by or licensed to PunkSky and are protected by applicable intellectual property laws.

The Content and Marks are provided “AS IS” for personal, non-commercial use only. Except as expressly permitted, no part of the Site may be copied, reproduced, distributed, sold, licensed, or exploited without our prior written consent.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful purposes. All rights not expressly granted are reserved.

3. USER REPRESENTATIONS

By using the Site, you represent and warrant that:

  1. All information you submit is accurate and current
  2. You have legal capacity to agree to these Terms
  3. You are at least 13 years old
  4. You will not use automated or non-human means to access the Site other then when using public APIs
  5. You will not use the Site for unlawful or unauthorised purposes
  6. Your use will comply with all applicable laws

We reserve the right to suspend or terminate accounts providing false or misleading information.

4. USER REGISTRATION

You may be required to register for an account. You are responsible for maintaining the confidentiality of your credentials and all activity under your account. We reserve the right to reclaim or change usernames deemed inappropriate.

5. PROHIBITED ACTIVITIES

You agree not to:

  • Scrape, harvest, or systematically collect Site data
  • Circumvent security features
  • Upload malware or disruptive code
  • Impersonate others
  • Harass or abuse users or staff
  • Use the Site to compete with PunkSky
  • Use the Site for unauthorised commercial purposes

Resellers using approved PunkSky APIs are exempt where explicitly authorised.

Violation may result in suspension or termination.

6. USER-GENERATED CONTRIBUTIONS

The Site may allow you to submit content (“Contributions”). Contributions are non-confidential and may be visible to others.

You represent that your Contributions:

  • Do not infringe third-party rights
  • Are lawful, accurate, and non-misleading
  • Do not contain prohibited, abusive, or illegal material

We reserve the right to remove or modify Contributions at our discretion.

7. CONTRIBUTION LICENSE

By submitting Contributions, you grant PunkSky a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, modify, display, and create derivative works from your Contributions for any lawful purpose.

You retain ownership of your Contributions. We do not claim ownership, but we are not responsible for user-submitted content.

8. REVIEWS AND FEEDBACK

Reviews must be truthful, non-abusive, and based on firsthand experience. We reserve the right to remove reviews at our discretion.

9. THIRD-PARTY SERVICES AND LINKS

The Site may contain links to third-party websites or services. We do not control or endorse third-party content and are not responsible for any loss or damage arising from third-party interactions.

10. SITE MANAGEMENT

We reserve the right to monitor the Site, enforce these Terms, restrict access, remove content, and take legal action where necessary.

11. PRIVACY POLICY

Your use of the Site is subject to our Privacy Policy, available at:

By using the Site, you consent to data processing in the United States and Australia where applicable.

12. TERM AND TERMINATION

These Terms remain in effect while you use the Site. We may suspend or terminate access at any time, without notice, for any reason.

13. MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue the Site at any time. We are not liable for downtime, interruptions, or loss of access.

14. GOVERNING LAW

These Terms are governed by the laws of Australia, without regard to conflict of law principles. Courts of Australia have exclusive jurisdiction unless otherwise required by law.

15. DISPUTE RESOLUTION

Informal Resolution

Parties agree to attempt informal resolution for 33 days before formal proceedings.

Arbitration

Disputes may be resolved by binding arbitration seated in Canberra, Australia, conducted in English, under Australian law.

Exceptions

Claims involving intellectual property, unauthorised use, or injunctive relief are excluded from arbitration.

16. DISCLAIMER

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. LIMITATION OF LIABILITY

IN NO EVENT SHALL PUNKSKY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

18. INDEMNIFICATION

You agree to indemnify and hold harmless PunkSky from claims arising from your use of the Site or violation of these Terms.

19. USER DATA

You are responsible for maintaining backups of your data. We are not liable for data loss or corruption.

20. ELECTRONIC COMMUNICATIONS

You consent to electronic communications and agree that electronic agreements satisfy legal writing requirements.

21. MISCELLANEOUS

These Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. No partnership or agency relationship is created.
